SOCIALSCALE HUB – TERMS OF SERVICE

    IMPORTANT NOTICE

    PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE PLATFORM. BY ACCESSING OR USING THE SOCIALSCALE HUB PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

    1. PARTIES AND DEFINITIONS

    1.1 Company Information

    These Terms of Service ("Agreement", "Terms", "Terms of Service") constitute a legally binding agreement between you and:

    (hereinafter referred to as "Company", "we", "us", "our", or "SocialScale Hub")

    1.2 Definitions

    For the purposes of this Agreement:

    • "Platform" or "Service" means the SocialScale Hub software-as-a-service platform, including all associated websites, applications, tools, features, and functionalities.
    • "Client", "User", or "you" means any individual or legal entity that accesses or uses the Platform.
    • "Account" means your registered account on the Platform.
    • "Social Media Account" means any third-party social media account (including but not limited to TikTok, Instagram, YouTube, or Facebook accounts) created, managed, or accessed through the Platform.
    • "Content" means any text, images, videos, audio, graphics, or other materials uploaded, posted, or transmitted through the Platform.
    • "Subscription" means the paid service plan you have selected and subscribed to.
    • "Third-Party Platforms" means external social media services including but not limited to TikTok, Instagram, YouTube, Facebook, and Meta platforms.

    2. ACCEPTANCE OF TERMS

    2.1 Agreement to Terms

    By creating an Account, accessing, or using the Platform in any manner, you represent and warrant that:

    (a) You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher;

    (b) You have the legal capacity and authority to enter into this Agreement;

    (c) If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you have the authority to bind such entity to these Terms;

    (d) You have read, understood, and agree to be bound by these Terms and our Privacy Policy;

    (e) Your use of the Platform does not violate any applicable law, regulation, or third-party rights.

    2.2 Modifications to Terms

    We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Material changes will be communicated to you via email or through a prominent notice on the Platform at least fourteen (14) days before they take effect. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

    3. SERVICE DESCRIPTION

    3.1 Nature of Services

    SocialScale Hub is a software-as-a-service platform that provides technical infrastructure for social media account management. The Platform offers:

    (a) Provisioning and technical setup of social media accounts in requested geographic regions;

    (b) Centralized tools for content upload, scheduling, and publishing to Third-Party Platforms;

    (c) Analytics tracking and performance monitoring tools;

    (d) Cloud-based infrastructure for account management.

    3.2 Service Limitations

    You expressly acknowledge and agree that:

    (a) We do NOT provide, sell, or facilitate fake followers, fake views, fake engagement, artificial metric manipulation, or any form of fraudulent social media activity;

    (b) We do NOT guarantee any specific results, including but not limited to follower counts, engagement rates, views, reach, or revenue;

    (c) We do NOT guarantee compliance with Third-Party Platform terms of service, and you assume all risk associated with such compliance;

    (d) The Platform is provided for legitimate organic social media marketing purposes only.

    4. ACCOUNT REGISTRATION AND SECURITY

    To use the Platform, you must create an Account by providing accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your Account credentials and all activities that occur under your Account.

    5. SOCIAL MEDIA ACCOUNTS

    5.1 Account Creation and Management

    When we create Social Media Accounts on your behalf through the Platform, such accounts are created using our technical infrastructure and processes. You are the intended beneficial owner and controller of such accounts. We act solely as your technical service provider and agent.

    5.2 Account Credentials and Transfer

    Upon your request or upon termination of your Subscription, we will provide you with the credentials for Social Media Accounts created on your behalf. Once credentials are transferred to you, we shall have no further obligation to manage, support, or maintain such accounts.

    5.3 Account Exit and Transfer Fees

    If you cancel your Subscription and request transfer of Social Media Account credentials, we reserve the right to charge a reasonable administrative fee to cover the costs of secure credential transition and administrative processing.

    6. CLIENT AUTHORIZATION AND CONSENT

    By using the Platform, you expressly authorize us to create Social Media Accounts on your behalf, access and manage such accounts through secure cloud environments, perform automated warm-up activities, and upload, schedule, and publish Content to such accounts as directed by you.

    7. CONTENT AND INTELLECTUAL PROPERTY

    You retain all ownership rights and intellectual property rights in Content you upload to the Platform. You represent and warrant that you own or have all necessary rights to upload and publish all Content, and that your Content does not infringe any third-party rights or violate any applicable laws.

    WE DO NOT REVIEW, MONITOR, MODERATE, ENDORSE, OR ASSUME ANY RESPONSIBILITY FOR USER CONTENT.

    8. PROHIBITED ACTIVITIES

    You agree not to use the Platform to violate any applicable law, violate the terms of service of any Third-Party Platform, engage in spam or deceptive practices, upload malicious software, or attempt to gain unauthorized access to the Platform or other systems.

    9. FEES, PAYMENT, AND BILLING

    The Platform operates on a subscription basis at $90 USD per Social Media Account slot per month, unless otherwise agreed in writing. Subscription fees are due in advance and subscriptions renew automatically. ALL FEES ARE NON-REFUNDABLE except as required by applicable law.

    10. TERM AND TERMINATION

    We may terminate or suspend your Account and access to the Platform immediately, without prior notice or liability, for breach of these Terms, violation of applicable laws, fraudulent activity, or non-payment of fees.

    11. DISCLAIMERS AND WARRANTIES

    THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

    WE ARE NOT AFFILIATED WITH, ENDORSED BY, SPONSORED BY, OR IN ANY WAY OFFICIALLY CONNECTED WITH TIKTOK, INSTAGRAM, META, YOUTUBE, FACEBOOK, BYTEDANCE, ALPHABET INC., OR ANY OF THEIR SUBSIDIARIES OR AFFILIATES.

    WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE PLATFORM.

    12. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRIDAX LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA.

    OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE FEES PAID BY YOU DURING THE THREE (3) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

    13. INDEMNIFICATION

    You agree to indemnify, defend, and hold harmless PRIDAX LTD from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Platform, your Content, or your violation of these Terms.

    14. DISPUTE RESOLUTION

    This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Larnaca, Republic of Cyprus.

    CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

    15. GENERAL PROVISIONS

    This Agreement constitutes the entire agreement between you and PRIDAX LTD regarding the Platform. If any provision is held invalid, the remaining provisions shall continue in full force. Our failure to enforce any right shall not constitute a waiver.
